1. Acceptance of Terms
By placing an order with Nstar Wholesales Ltd (“Nstar”), you (“the Purchaser”) agree to be bound by these Terms of Sale. These terms govern all sales transactions between Nstar and the Purchaser, whether made online, in-store, or through other methods of order placement.
2. Payment Terms
2.1 Pricing: All prices are quoted in Canadian Dollars (CAD) and are exclusive of applicable taxes, shipping, and handling fees, unless otherwise stated.
2.2 Payment Methods: Nstar accepts payments via credit card, debit card and other approved methods (Cash & Cheque if agreed upon). Payment must be received in full before the goods are dispatched, unless credit terms have been approved by NStar from a purchaser’s credit term application.
2.3 Overdue Accounts: A monthly interest rate of 2% will be charged on overdue credit accounts. Credit terms are strictly 15 days. Interest will begin to accrue from the date the payment was due until full payment is received.
3. Retention of Title
3.1 Ownership: The goods listed on the invoice remain the property of Nstar Wholesales Ltd until full payment is received. The Purchaser agrees that title to the goods does not pass to them until payment is made in full.
3.2 Risk of Loss: All goods are delivered in good and usable condition. Upon delivery, the Purchaser accepts and assumes full responsibility for the goods, including any risk of loss or damage.
4. Shipping and Delivery
4.1 Delivery Terms: Delivery dates provided by Nstar are estimates only. Nstar is not liable for delays in delivery due to circumstances beyond its control.
4.2 Shipping Costs: Shipping costs are the responsibility of the Purchaser unless otherwise agreed. All shipping and handling fees will be clearly communicated at the time of purchase.
4.3 Inspection: The Purchaser must inspect all goods upon delivery. Any discrepancies, damages, or defects must be reported to Nstar within 48 hours of receipt.
5. Returns and Refunds
5.1 Return Policy: Returns are accepted within 14 days of delivery, provided the goods are in their original, unused condition and packaging. Restocking fees from 0%-90% may apply at the discretion of Nstar upon returned item inspection. The Purchaser is responsible for return shipping costs unless the return is due to an error on the part of Nstar.
5.2 Refunds: Refunds will be processed within 10 days of receiving the returned goods. Refunds will be issued using the original payment method. Any restocking costs will be deducted from return amounts.
6. Warranties
6.1 Product Warranties: Nstar warrants that the goods delivered will conform to the specifications and be free from defects in material and workmanship.
6.2 Exclusions: The ability to return items does not cover normal wear and tear, misuse, improper storage, or damage caused by the Purchaser.
7. Limitation of Liability
Nstar’s liability for any claim arising out of or related to these Terms of Sale is limited to the purchase price of the goods in question. Nstar is not liable for any indirect, incidental, or consequential damages.
8. Cancellation Policy
Orders may be canceled prior to shipment and in-store pick ups being informed as “ready” without penalty. If an order is canceled after shipment or “ready for pick up”, the Purchaser is responsible for any return shipping costs and may be subject to a restocking fee at the discretion of Nstar.
9. Governing Law
These Terms of Sale are governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising out of these terms will be resolved in the courts of Toronto, Ontario.
10. Amendments
Nstar reserves the right to amend these Terms of Sale at any time. Any changes will be effective immediately upon posting on our website or notification to the Purchaser.
11. Force Majeure
Nstar is not liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war, strikes, or governmental restrictions.
